Beware of Scams Targeting New LLCs in Connecticut

After forming a Limited Liability Company (LLC) in Connecticut, it is common to receive a flurry of official-looking notices. These often claim that you need to obtain copies of filed documents, such as your Articles of Organization, or offer to handle your Financial Crimes Enforcement Network (FinCEN) filings for a fee. Beware! These notices are typically scams designed to exploit new business owners. These notices look legitimate, with accurate information (name and filing number) publicly available from the initial filings, but are simply attempts to collect money for unnecessary actions.

In Connecticut, the process for forming an LLC is straightforward and handled directly by the Connecticut Secretary of the State. Once your LLC is approved, the Articles of Organization are already on file with the state and available to download for free. There is no need to pay a third party to obtain this document once it is filed.

Additionally, while most businesses must comply with the new FinCEN requirements, this is not automatically necessary for every LLC. If FinCEN filings are required, they can be completed easily through the official FinCEN website at no cost.
